Squair (Jennifer Nicolaï, Alexandre Vercruysse, Blandine Gény) advised Étienne Roux, President of Ciné Digital, on the group's majority buyout by Sodero.
Ciné Digital, the French leader in equipment and services for movie theaters, is embarking on a new phase of development. As part of a transition deal, Sodero, a long-standing shareholder in the group for over twenty years, has become the majority shareholder through its Transmettre & Pérenniser III and Sodero Equilibre funds.
Founded in 1954 and based in La Chapelle-sur-Erdre, Ciné Digital is the French benchmark for the installation and maintenance of projection, sound, digital signage, and ticketing solutions for movie theaters. The group equips more than 1,300 cinemas and 3,200 screens in France, representing nearly one in every two theaters. With five regional offices (Nantes, Paris, Bordeaux, Lyon, and Marseille), it employs 90 people and generates over €30 million in revenue.
The transaction strengthens the leadership team around President Étienne Roux and newly appointed CEO Grégoire Amiot, while further involving the management team in the company's equity. It is designed to allow the group to pursue its growth strategy based on three priorities: external growth, software innovation, and international expansion.
Squair notably assisted in structuring and negotiating Étienne Roux’s equity participation alongside Sodero.
