Squair advised Romans Viande in the context of the receivership proceedings it was subject to, until it was taken over at the bar of the Commercial Court of Romans-sur-Isère by the company EFC Viande.
Located in Peyrins in Drôme, Romans Viande is a family business passed on from generation to generation. Specializing in the processing of butcher meat (cutting plant), it employs 26 people and achieved a turnover of 15.3 million euros in 2023. Its clientele is made up of large and medium-sized retailers, butchers, wholesalers and restaurant owners.
Placed in receivership by judgment of 11 December 2024, the company initially considered, with its board, all possible legal alternatives to ensure the continuity of operations, including a recovery plan. After an in-depth analysis of accounting, legal, social and human elements, a collective decision was taken, in consultation with the manager, in favor of a transfer plan, in the interest of the company, its employees, its creditors and more generally of the local ecosystem.
Our partner Lutece Bigand acted at each stage of the procedure as counsel to Romans Viande, in close collaboration with the manager and his accountant. She coordinated the legal, financial and human aspects of the case, by steering strategic thinking, exchanges with the various stakeholders, the structuring of financial data (in particular through independent business reviews), as well as the management of numerous operational meetings.
The project selected is the one presented by the company EFC Viande, a family business specializing in the meat trade, which includes the development of sales in the south-eastern quarter of France and the maintenance of the majority of jobs on the site. This transfer plan, validated by a judgment of 15 April 2025, allows the takeover of 23 employees (88% of jobs preserved) and offers real prospects for the continuity of the activity.
