
Two months to sink Bordeaux businesses. Three weeks to save them.
Our partner Lutèce Bigand has just obtained, before the Bordeaux Commercial Court, the annulment for fraud of the sale of the cookie bars Be my Cookie. A victory after a race against time, against an organized downfall, cases of which are multiplying across the country — Baillardran having narrowly escaped the same fate.
The scenario: a sale for a symbolic euro to a buyer who, on the day of signing, concealed an imminent ten-year management ban. Seventeen days later, this ban was pronounced. Two months without management, unpaid salaries, no supplies, and sixteen jobs threatened.
An offensive strategy was deployed on three simultaneous fronts: gathering testimonies in Paris and Gironde to substantiate the recurring pattern, a detailed report to the Public Prosecutor's Office, and a request for the appointment of a provisional administrator. The President of the Commercial Court granted it. Attorney Antoine FEDRY (AJILINK) removed the transferee and allowed the business to continue operating.
Annulment of the sale for fraud, return of shares to the sellers, and rectification of the Trade and Companies Register (RCS): a substantive procedure completed in three weeks, where it usually takes several months. The fight now continues with the directors to turn the company around.
