



Jean-Mathieu advises executives and shareholders on corporate/M&A matters, with a deal-driven practice encompassing legal due diligence and structuring, negotiation, drafting and securing transaction documentation (transaction agreements, warranties and indemnities, shareholders’ agreements), and the management of governance issues.
He also assists start-ups, scale-ups and SMEs, as well as investors (business angels and private equity/venture capital funds), with fundraising and LBO transactions: selection of instruments (preference shares, warrants, convertible bonds, etc.), structuring of equity investments, negotiation of the allocation of rights in shareholders’ agreements, and implementation of incentive arrangements (management packages) to align the interests of founders, managers and investors over the long term.
Jean-Mathieu is strongly committed to the development of the local business ecosystem in the Aix–Marseille region, supporting business leaders and entrepreneurs on a day-to-day basis. He is also deeply involved in professional networks and associations. In parallel, he advises clients across France, enabling him to combine local roots with market standards. This local/national perspective naturally led him to join Squair, whose multi-office footprint and full-service platform combine proximity, responsiveness and the ability to mobilise teams across offices.
Since 2015,Jean-Mathieu has advised SMEs and mid-cap companies, as well as investors, on their transactions, with an operational and pragmatic approach grounded in availability, responsiveness and day-to-day involvement. Before joining Squair as a partner, he worked at Bignon Lebray, a leading business law firm, where he further developed a high-end transactional practice serving French and international companies.
